Electronic Signature Disclosure and Consent

By selecting the “I agree” button, I am signing this document electronically. I give my consent to transact business using electronic communications, receive agreements, notices, or other documents electronically, and utilize electronic signatures for executing agreements and other documents. This electronic signature service is provided on behalf of the entity, along with such entity’s affiliates and subsidiaries (“Sending Party”), who is sending you this electronic document and requesting electronic signatures from you.

I agree that my electronic signature is the legal equivalent of my manual/handwritten signature on this document. By selecting “I agree” using any device, means, or action, I consent to the legally binding terms and conditions of this document. I further agree that my signature on this document is as valid as if I signed the document in writing. I am also confirming that I am authorized to enter into this agreement. If I am signing this document on behalf of a minor, I represent and warrant that I am the minor’s parent or legal guardian.

I understand that the electronically stored copy of my signature, any written instruction or authorization, and any other document provided to me by Countersign is considered to be the true, accurate, and complete record, legally enforceable in any proceeding to the same extent as if such documents were originally generated and maintained in printed form. I agree not to contest the admissibility or enforceability of the electronically stored copy of this document and any other documents. I agree to the terms and conditions of this document on behalf of myself or as the parent or legal guardian of the minor on whose behalf I am signing this document.

By submitting my personal information (including name, mailing address, email address, telephone number, and signature), I am giving the Sending Party permission to process, screen and store such personal information for the purposes of this transaction. I acknowledge that the Sending Party may share this personal information with a third party provider who processes information on behalf of the Sending Party to help run some of its internal business operations.

I understand that I am not required to receive agreements, notices and other documents electronically or sign such documents utilizing electronic signatures. I may, at any time, request the Sending Party to send me paper copies and withdraw my consent (as described below) to transact business using electronic communications, receive agreements, notices and other documents electronically, and utilize electronic signatures for executing agreements and other documents.

Paper Copies

I understand that I am not required to receive agreements, notices or other documents and to sign documents electronically and may request paper copies of documents if I prefer to do so. I understand I also have the ability to download and print any open or signed documents sent to me through Countersign. If I wish to receive paper copies in lieu of electronic documents I understand that I can request paper copies from the Sending Party by following the procedures outlined below. The Sending Party may apply a charge for requesting paper copies.

Withdrawal of Consent

I understand that I may withdraw my consent to transact business using electronic communications, receive agreements, notices, or other documents electronically, and utilize electronic signatures for executing agreements and other documents, at any time, by following the procedures described below. In order to withdraw my consent I understand that I must notify the Sending Party that I wish to withdraw consent and to be provided with agreements, notices, and other documents in paper format.

Scope of Consent

I agree to receive electronic communications, agreements, notices, or other documents, and to utilize electronic signatures with all related and identified documents provided over the course of my relationship with the Sending Party.

Disclaimer

Any agreement and another document signed prior to any withdrawal of consent to sign agreements and other documents electronically shall be deemed valid. All notices received prior to any withdrawal of consent to receive notices electronically shall be deemed valid.

Required Hardware and Software

The minimum system requirements for using Countersign may change over time. Most modern computers work well with Countersign. The current system requirements are as follows:

Requesting Paper Copies, Withdrawing Consent, and Updating Contact Information

You have the ability to download and print any document sent to you through Countersign.

In order to:

(a) request paper copies of documents,

(b) withdraw consent to conduct business electronically,

(c) withdraw consent to receive agreements, notices, or other documents electronically,

(d) withdraw consent to sign documents electronically, or

(e) update your contact information,
